Cloud Terms of Service

Your use of the IDRsolutions cloud services constitutes your acceptance of and compliance with the Terms of Service described below. The Service is operated by IDRsolutions Ltd, UK.

Description

The Service will convert documents and return the converted output. The API is provided for conversion only and is not intended to be a document hosting service. You agree to download converted documents and host them on your own servers.

Correct usage

The Service is provided for customers to convert PDF documents as part of a service they offer. Raw conversion of PDF files for other third-parties is expressly excluded.

Access

Access will be provided after payment has been received and will be removed at the start of the next billing period if the subscription is not renewed.

Termination

IDRsolutions may terminate your access to or decide to cease offering this service at any time and for any reason (but we will provide at least 30 days' notice before discontinuing the service, except where required to act immediately by law or due to material breach of these Terms).

Copyright and legal infringement

You represent and warrant that all files do not infringe any copyright or violate any other laws of ownership, obscenity, privacy, etc. All files are automatically deleted after 1 hour.

Uptime

IDRsolutions does not provide an uptime guarantee. We will make reasonable efforts to ensure uptime, however we do not have dedicated staff responsible for ensuring the uptime of this service round the clock. Our engineers are available Mon-Fri during standard office hours (UK time).

There will be downtime such as when updating to new product releases or renewing SSL certificates and in cases of hardware failures or for other unspecified reasons.

Limitation of Liability

IDRsolutions' total liability to you, whether in contract, tort, or otherwise, shall not exceed the fees paid by you in the 12 months preceding the claim. In no event shall IDRsolutions be liable for indirect or consequential losses.

Changes

We reserve the right to amend these Terms at any time. The last updated date will be amended above when any changes are made. The updated terms will be effective on the date of your billing renewal or after 30 days. Your continued use of the service constitutes your acceptance of the revised terms.

Governing Law

These Terms shall be governed by the laws of the United Kingdom, without regards to its conflict of law provisions. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
